The Reservation Deposit of $1,000.00 USD entitles the Buyer the first option to negotiate for and purchase the Lot and the dwelling constructed thereon at a purchase price which shall be mutually agreeable to the Builder and the Buyer. Until a binding contract is executed between the parties, nothing shall obligate either party to purchase or sell the herein referenced property for any predetermined or estimated price. Nothing herein shall obligate the Builder to construct a dwelling on the Lot to any exact specifications, regardless of whether the proposed specifications of the dwelling have been previously hereto discussed or contemplated between the parties. Nothing herein obligates the Builder to take direction from the Buyer as to the specifications of the dwelling constructed upon the property nor shall the Builder be obligated to complete the construction within any established timeframe. Buyer may terminate this Agreement and demand return of Buyer’s Reservation Deposit any time prior to the execution of a binding purchase and sale agreement.
On or about the time at which the dwelling upon the Lot has reached the “drywall stage”, as determined by the Builder, the Builder shall determine and finalize the conditional purchase price at which the Builder is willing to sell the property to the Buyer. Upon written notice to the Buyer of the establishment of the conditional purchase price, Buyer shall have Five (5) days in which to submit a written offer in the form of a purchase and sale agreement to Builder, at which time the Builder and Buyer shall in good faith negotiate the contract and determine a final sale price and execute a binding purchase and sale agreement. If Builder and Buyer have been unable for any reason to reach an agreement and enter into a binding purchase and sale agreement within Ten (10) days after the submission of a written offer from Buyer, then either the Builder or the Buyer may declare this Reservation Agreement to be terminated and the Buyer shall receive a full refund of the Reservation Deposit. If the parties shall successfully enter into a purchase and sale agreement for the subject property, the Reservation Deposit shall be applied toward any deposit of earnest money required by the purchase and sale agreement.
